These Terms and Conditions (the "Terms") govern your access to and use of the ZEISMO websites, the ZEISMO CRM, the ZEISMO SEO plugin and its connected service, and any other software, application programming interface (API), or service provided by ZEISMO (together, the "Services"). By creating a ZEISMO account, connecting a site to the ZEISMO service, purchasing a plan, or otherwise using the Services, you agree to these Terms, including the Brand and Trademark Policy in Section 4. If you do not agree, do not use the Services.

1. Definitions
"ZEISMO", "we", "us", and "our" mean the owner and operator of the Services. "You" and "your" mean the person or entity using the Services. "Plugin" means the ZEISMO SEO plugin distributed as open-source software. "Service" means the ZEISMO server-side systems, APIs, AI processing, licensing, and account features that the Plugin and other clients connect to. "Content" means text, images, code, logos, marks, and other material.
2. Acceptance and eligibility
By ticking an acceptance box, creating an account, or using the Services, you confirm that you have read, understood, and agree to these Terms, and that you have the authority to accept them on behalf of yourself or the entity you represent. You must be able to form a binding contract under the law that applies to you. Your acceptance is recorded together with the version of these Terms in force at that time.
3. Intellectual property and ownership
Except for the Plugin source code that ZEISMO distributes under an open-source licence (Section 5), ZEISMO owns or licenses all intellectual property in the Services, including all software, the server-side code, the APIs, the databases and their structure, the designs, the text and documentation, and the ZEISMO brand and identity. All such rights are reserved. These Terms do not transfer any ownership to you. You receive only the limited rights expressly stated here.
ZEISMO respects the copyright of others and expects the same. All original ZEISMO Content is protected by copyright under Egyptian law and under international treaties, including the Berne Convention.
4. Brand and Trademark Policy
This Section is part of these Terms. By accepting these Terms you also agree to this Brand and Trademark Policy.
4.1 Protected marks
The following are trademarks, trade dress, and brand assets of ZEISMO, whether or not registered, protected under Egyptian law, the laws of the countries where the brand is used, and applicable international treaties (including the Paris Convention): the word mark ZEISMO and the product name ZEISMO SEO; the ZEISMO mark (the gradient "Z" stroke logo and its dot); ZEISMO logos, wordmarks, icons, and their color treatments; ZEISMO taglines, including "Powered by ZEISMO"; and the distinctive look and feel of ZEISMO product branding.
4.2 What you may do
You may refer to ZEISMO by name, factually and accurately, to identify ZEISMO products or to state that your work is "based on ZEISMO SEO" for attribution, provided you do not imply that ZEISMO endorses, sponsors, certifies, or supports you or your product.
4.3 What you may not do
Without ZEISMO's prior written permission, you may not: use the ZEISMO name, mark, logos, brand assets, or taglines in the name, branding, marketing, icon, banner, or identity of any product, service, fork, or derivative; distribute any copy or modified version under the ZEISMO name, the ZEISMO SEO name, or any name confusingly similar; register or attempt to register any domain, social account, application name, trademark, or business name that contains "ZEISMO" or is confusingly similar; present any copy as the official ZEISMO product or as endorsed by or connected with ZEISMO; or use the ZEISMO brand in a misleading manner, to impersonate ZEISMO, or in a way that harms the reputation or goodwill of the brand. If you distribute a modified version of the open-source Plugin, you must remove the ZEISMO name, the ZEISMO mark, and all ZEISMO brand assets, and give your version a clearly different, non-confusing name.
5. Software licence (plugin)
The Plugin source code is licensed under the GNU General Public License, version 2 or later (GPL). Your rights to copy, modify, and redistribute the code are governed by the GPL. The GPL applies to the code only. It does not grant any right in the ZEISMO brand (Section 4) or any right to the Service or its server-side software (Sections 3 and 6). The brand and the Service are not open source.
6. The hosted service and licence
Some features (including AI assistance and the licensing system) run on ZEISMO servers as a hosted service, not as code shipped in the Plugin. ZEISMO grants you a limited, non-exclusive, non-transferable, revocable right to access the Service through the official Plugin or client, for your own sites, in line with your plan and these Terms. Each licence permits the number of connected sites stated for your plan. ZEISMO may set, meter, and change usage allowances. The Service, its code, and its methods are proprietary and confidential.
7. Acceptable use
You agree not to: reverse engineer, decompile, or attempt to derive the source or methods of the Service; circumvent, disable, or tamper with licensing, metering, authentication, request signing, or security; share, resell, sublicense, or provide access to the Service to third parties outside your plan; use the Service to build or train a competing product or service; exceed or evade usage allowances by automation or by multiplying accounts; use the Services unlawfully, to infringe others' rights, to send spam, or to process content you have no right to process; or interfere with the integrity or performance of the Services.
8. Anti-piracy and integrity
Distributing "nulled", cracked, or modified copies that impersonate ZEISMO, or that attempt to unlock paid Service features without a valid licence, is prohibited and is a breach of these Terms and of applicable law. ZEISMO downloads may be individually identified to the licensee. ZEISMO may verify the integrity of connected clients and may suspend or revoke access where tampering, license abuse, or brand misuse is detected.
9. Plans, fees, and credits
Paid plans and credit top-ups are billed through our payment processor. Prices, allowances, and features are shown at the point of purchase and may change on a going-forward basis. Subscriptions renew until cancelled; on cancellation, paid Service features stop and the site returns to the free tier. Purchased credits are consumed after the plan allowance and do not expire unless stated. Except where required by law, fees already paid are non-refundable.
10. Data and privacy
Local plugin analysis runs in your WordPress installation. Connected accounts, licensing, AI requests and enabled network features process the data needed for their tasks. Network features such as IndexNow and destination link checks can contact external services independently of account connection. The main ZEISMO Privacy Policy explains ZEISMO SEO, ZEISMO Security AI, account and license records, AI providers, payments, advertising choices, retention and privacy rights. See also the data retention notice. Website operators remain responsible for their own visitor notices and locally stored plugin data.
11. Warranties and disclaimers
The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. ZEISMO does not warrant that the Services will be uninterrupted, error free, or that any particular search ranking, traffic, or result will be achieved. Search engine outcomes depend on many factors outside ZEISMO's control.
12. Limitation of liability
To the fullest extent permitted by law, ZEISMO is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. ZEISMO's total liability arising out of or relating to the Services is limited to the amount you paid to ZEISMO for the Service in the twelve months before the event giving rise to the claim, or one hundred United States dollars, whichever is greater.
13. Indemnity
You agree to indemnify and hold ZEISMO harmless from claims, damages, and expenses arising from your use of the Services in breach of these Terms, your infringement of any right of a third party, or your misuse of the ZEISMO brand.
14. Term, suspension, and termination
These Terms apply while you use the Services. ZEISMO may suspend or terminate your access, with or without notice, for breach of these Terms, for license or brand abuse, for non-payment, or where required by law. On termination, your right to use the Service ends. The free, open-source Plugin remains subject to the GPL for the code and to Section 4 for the brand. Sections that by their nature should survive (including Sections 3, 4, 7, 8, 11, 12, 13, 15, and 16) survive termination.
15. Enforcement and takedown
ZEISMO actively protects its brand and rights. Unauthorized use of the ZEISMO name, mark, or brand assets, or distribution of infringing or impersonating copies, may result in a takedown request to the relevant host, registry, app store, or platform, and in any remedy available under trademark, copyright, and unfair competition law. 16. Governing law and disputes
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-laws rules, and by the international treaties that apply to intellectual property. The courts of Cairo, Egypt have jurisdiction, without prejudice to ZEISMO's right to seek urgent or injunctive relief, and to enforce its intellectual property rights, in any competent court in any country where infringement occurs. If any provision is held unenforceable, the rest remains in effect.
17. Changes to these Terms
ZEISMO may update these Terms from time to time. The version and date at the top show the current version. Material changes take effect when posted, or on the date stated. Your continued use of the Services after a change means you accept the updated Terms.
